Conquest Of The Empire is similar to Axis & Allies though somewhat simpler considering you not playing over the entire globe nor using aircraft etc. It is more akin to Imperium II but aimed at simple "family" play rather than hardcore wargaming.

There is a new edition of Conquest out from Eagle Games that adds a few new wrinkles to that old War Horse -- have not played it so can not say if the additions are improvements or just window dressing.
